QXO proposes a slate of directors

Amid hostile takeover attempt of Beacon, some familiar names.

Wendy Whiteash, a former US LBM executive who in recent years was a familiar figure at industry events, was among those named as independent director nominees in QXO’s hostile takeover attempt of Beacon Roofing Supply.

QXO said it will nominate 10 directors to replace Beacon’s board at Beacon’s 2025 annual shareholder meeting expected to be held in May.

Whiteash is the former executive vice president of integration and strategic priorities for US LBM Holdings. She also served US LBM as chief human resources officer. She spent 17 years of her career with Ferguson Enterprises, the largest U.S. value-added distributor of plumbing, heating, ventilation, air conditioning and MRO solutions, where she held various roles in finance, operations and human resources.

On Jan. 27, QXO commenced a tender offer to purchase all outstanding shares of Beacon for $124.25 per share in cash for an aggregate enterprise value of approximately $11 billion. Beacon’s board considers the offer to low and recommended shareholders reject it.

Other QXO nominees include

• Teresa May: Former chief marketing officer for American Woodmark Corp., head of global strategic marketing for Owens Corning, and president of healthcare and chief strategy officer of security solutions for Stanley Black & Decker, Inc.;

• Sheree Bargabos: Former president, roofing and asphalt for over a decade with Owens Corning; and

• Paul Camuti: Former executive vice president and chief technology and sustainability officer of Trane Technologies.

“We are proposing a slate of high-caliber, independent director nominees who are astute at delivering value to shareholders of large public companies,” said Brad Jacobs, chairman and chief executive officer of QXO.
